1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you (the "User" or "you") and ASQUARED SRL ("Company", "we", "us", or "our"), a company registered in Brașov, Romania, governing your access to and use of Changelogy (the "Service").

By accessing or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not access or use the Service.

2. Eligibility

You must be at least 16 years of age to use the Service. By using the Service, you represent and warrant that:

  • You are at least 16 years old
  • You have the legal capacity to enter into these Terms
  • You will comply with these Terms and all applicable laws and regulations
  • All registration information you submit is truthful and accurate
  • You will maintain the accuracy of such information

3. Account Registration and Security

3.1 Account Creation

To access certain features of the Service, you must create an account. You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and promptly update your account information
  • Maintain the security of your account credentials
  • Notify us immediately of any unauthorized use of your account
  • Accept responsibility for all activities that occur under your account

3.2 Account Termination

We reserve the right to suspend or terminate your account if:

  • You violate these Terms
  • You provide false, inaccurate, or misleading information
  • Your account is inactive for an extended period
  • We are required to do so by law
  • We discontinue the Service or any part thereof

4. Subscription Plans and Billing

4.1 Free and Paid Plans

Changelogy offers both free and paid subscription plans. The features available to you depend on your subscription tier.

4.2 Payment Processing

Payments are processed through Stripe, a third-party payment processor. By subscribing to a paid plan, you agree to:

  • Provide accurate and complete payment information
  • Authorize us to charge your payment method on a recurring basis
  • Pay all applicable fees and taxes
  • Comply with Stripe's Terms of Service

4.3 Subscription Renewal

Paid subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date. You will be charged the then-current price for your subscription tier.

4.4 Cancellation and Refunds

You may cancel your subscription at any time through your account settings. Cancellations take effect at the end of the current billing period. We do not provide refunds for partial billing periods, except as required by EU law (see Section 4.5).

4.5 EU Right of Withdrawal

If you are a consumer in the European Union, you have the right to withdraw from your purchase within 14 days without giving any reason, in accordance with EU Directive 2011/83/EU. To exercise this right, contact us at contact@changelogy.com. We will reimburse all payments received from you within 14 days of receiving your withdrawal notice.

4.6 Price Changes

We reserve the right to change our pricing at any time. If we increase prices for your subscription, we will provide at least 30 days' notice before the change takes effect. Your continued use of the Service after the price increase constitutes acceptance of the new price.

5. Acceptable Use Policy

You agree not to use the Service to:

  • Violate any applicable laws or regulations
  • Infringe on the intellectual property rights of others
  • Transmit harmful, offensive, or illegal content
  • Harass, threaten, or defame any person or entity
  • Distribute spam, malware, or viruses
  • Attempt to gain unauthorized access to our systems or other users' accounts
  • Interfere with or disrupt the Service or servers
  • Use automated tools (bots, scrapers) without permission
  • Resell or redistribute the Service without authorization
  • Impersonate any person or entity
  • Collect personal information from other users without consent

6. User Content

6.1 Your Responsibility

You are solely responsible for all content you upload, post, or transmit through the Service ("User Content"), including changelog posts, images, and organization information. You represent and warrant that:

  • You own or have the necessary rights to use and authorize us to use all User Content
  • Your User Content does not violate any third-party rights
  • Your User Content complies with these Terms and applicable laws

6.2 License to User Content

By uploading User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, store, modify, and display your User Content solely for the purpose of providing and improving the Service.

6.3 Content Removal

We reserve the right to remove or disable access to any User Content that violates these Terms or applicable laws, without prior notice.

7. Intellectual Property Rights

7.1 Our Rights

The Service, including all content, features, functionality, software, and design, is owned by ASQUARED SRL and is protected by copyright, trademark, patent, and other intellectual property laws. You may not:

  • Copy, modify, or distribute our content without permission
  • Reverse engineer or decompile the Service
  • Remove or alter any proprietary notices
  • Use our trademarks or branding without authorization

7.2 Limited License

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal or internal business purposes, subject to these Terms.

8. Third-Party Services

The Service integrates with third-party providers:

  • Vercel: Application hosting and infrastructure
  • Supabase: Database and authentication services
  • Stripe: Payment processing

Your use of these services is subject to their respective terms of service and privacy policies. We are not responsible for the actions or policies of third-party providers.

9. Privacy and Data Protection

Your use of the Service is also governed by our Privacy Policy, which explains how we collect, use, and protect your personal data in compliance with the General Data Protection Regulation (GDPR) and other applicable data protection laws.

By using the Service, you consent to our collection and use of your information as described in the Privacy Policy.

10. Disclaimers and Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

To the maximum extent permitted by applicable law, we disclaim all warranties, including but not limited to:

  • Warranties of merchantability, fitness for a particular purpose, and non-infringement
  • That the Service will be uninterrupted, secure, or error-free
  • That defects will be corrected
  • That the Service is free from viruses or harmful components
  • The accuracy, reliability, or completeness of any content

EU Consumer Rights: Nothing in these Terms excludes or limits our liability for fraud, fraudulent misrepresentation, death or personal injury caused by negligence, or any other liability that cannot be excluded or limited under EU law.

11. Limitation of Liability

To the maximum extent permitted by applicable law, ASQUARED SRL and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

  • Loss of profits, revenue, data, or use
  • Business interruption
  • Loss of goodwill or reputation
  • Cost of substitute services

Our total liability to you for all claims arising from or relating to the Service shall not exceed the amount you paid us in the 12 months preceding the claim, or €100, whichever is greater.

EU Consumer Protection: These limitations do not apply to liability that cannot be excluded or limited under EU consumer protection laws, including liability for personal injury or damage to property caused by our negligence.

12. Indemnification

You agree to indemnify, defend, and hold harmless ASQUARED SRL and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any rights of another party
  • Your User Content

13. Term and Termination

13.1 Term

These Terms remain in effect while you use the Service.

13.2 Termination by You

You may terminate your account at any time by deleting your account through your account settings or by contacting us at contact@changelogy.com.

13.3 Termination by Us

We may suspend or terminate your access to the Service immediately, without prior notice, if:

  • You breach these Terms
  • Your account is inactive for an extended period
  • We are required to do so by law
  • We decide to discontinue the Service

13.4 Effect of Termination

Upon termination, your right to use the Service will immediately cease. We will delete your personal data within 30 days, except as required by law or for legitimate business purposes. Provisions that by their nature should survive termination (including disclaimers, limitations of liability, and dispute resolution) will survive.

14. Dispute Resolution

14.1 Informal Resolution

Before filing a claim, you agree to try to resolve the dispute informally by contacting us at contact@changelogy.com. We will attempt to resolve the dispute informally within 60 days.

14.2 EU Online Dispute Resolution

If you are a consumer in the European Union, you may use the European Commission's Online Dispute Resolution (ODR) platform at https://ec.europa.eu/consumers/odr to resolve disputes.

14.3 Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of Romania, without regard to conflict of law principles.

Any disputes arising from these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of Brașov, Romania, except where EU consumer protection laws grant you the right to bring proceedings in your country of residence.

15. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by:

  • Posting the updated Terms on this page with a new "Last updated" date
  • Sending you an email notification (if you have provided an email address)
  • Displaying a prominent notice on the Service

Your continued use of the Service after changes take effect constitutes acceptance of the modified Terms. If you do not agree to the changes, you must stop using the Service and terminate your account.

16. General Provisions

16.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and ASQUARED SRL regarding the Service.

16.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

16.3 Waiver

Our failure to enforce any right or provision of these Terms will not constitute a waiver of that right or provision.

16.4 Assignment

You may not assign or transfer these Terms or your account without our prior written consent. We may assign these Terms without restriction.

16.5 Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including acts of God, natural disasters, war, terrorism, labor disputes, or government actions.
